Terms of Service

These Terms of Service govern your access to and use of Arno CrossTalk, a language learning service provided by Mugen Inc. ("Arno," "we," "us," or "our"). By accessing or using CrossTalk, creating an account, or purchasing a subscription, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use CrossTalk. If you use CrossTalk on behalf of another person or organization, you represent that you have authority to accept these Terms for them.

1. Privacy Policy.

Our Privacy Policy explains how we collect, use, disclose, and protect information about you. It is incorporated into these Terms by reference.

2. Eligibility.

You must be at least 13 years old to use CrossTalk. If the law in your country requires you to be older to use online services, you must meet that higher age requirement. If you are below the age of majority where you live, your parent or legal guardian must review and accept these Terms on your behalf.

3. Accounts.

You may need an account to use certain CrossTalk features. You agree to provide accurate account information, keep it up to date, and keep your login credentials secure. You are responsible for activity that occurs through your account. You may not share, sell, or transfer your account without our permission.

Creating an account, signing in, or continuing to use CrossTalk means that you agree to these Terms and our Privacy Policy.

4. CrossTalk Service.

CrossTalk provides AI-guided language practice, including conversations, translations, grammar help, learning cards, and mini-lessons. CrossTalk is designed for learning and practice. It is not a substitute for professional, legal, medical, immigration, academic, or testing advice.

We may change, suspend, or discontinue parts of CrossTalk at any time. We may test new features with some users before making them available more broadly.

5. Subscriptions and Billing.

CrossTalk Premium is a paid subscription that renews monthly unless canceled. Prices, currency, taxes, and any applicable fees are shown at checkout before you complete your purchase.

Web subscriptions are processed by Paddle, our merchant of record and payment provider. If CrossTalk is offered through the Apple App Store or Google Play, purchases made in those apps may be processed by Apple or Google under their applicable store terms and billing policies.

By purchasing a subscription, you authorize the applicable payment provider to charge your selected payment method on a recurring basis until you cancel. If a payment fails, we or the payment provider may retry the charge, request updated payment information, or suspend access to paid features.

A subscription purchased through one channel may unlock CrossTalk Premium on other platforms when you sign in with the same account. Billing, payment method updates, cancellation, refunds, and receipts remain tied to the provider and channel where you made the purchase.

6. Cancellation, Refunds, and Payment Management.

You may cancel a subscription at any time. Cancellation usually takes effect at the end of the current billing period, and you will continue to have access to paid features until that period ends unless otherwise stated by the payment provider or required by law.

Web subscriptions purchased through Paddle can be managed through CrossTalk billing settings or Paddle checkout flows. Subscriptions purchased through Apple must be managed through your Apple ID subscription settings. Subscriptions purchased through Google Play must be managed through Google Play subscription settings.

Refunds for web subscriptions purchased through Paddle are handled under Paddle's Refund Policy. Discretionary refund requests must be submitted to Paddle within 14 days of the transaction date. This does not limit any statutory withdrawal or refund rights that may apply under local law. You can review the policy and request a refund through Paddle's Refund Policy.

7. User Content and Conduct.

You are responsible for the text, audio, messages, prompts, and other content you submit to CrossTalk. You may not use CrossTalk to upload or create unlawful, harmful, infringing, abusive, deceptive, or privacy-invasive content. You may not interfere with the service, attempt to reverse engineer it, scrape it, bypass access controls, or use it in a way that harms Arno or other users.

8. Intellectual Property.

CrossTalk, including its software, design, trademarks, text, graphics, and other materials, is owned by Arno or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, revocable right to use CrossTalk for your personal learning.

9. Third Party Services.

CrossTalk may rely on third party providers for payments, hosting, analytics, artificial intelligence features, email, security, and customer support. Your use of third party app stores, payment providers, or linked services may also be subject to their own terms and policies.

10. Disclaimers and Limitation of Liability.

CrossTalk is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

To the fullest extent permitted by law, Arno will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or other intangible losses arising from or related to your use of CrossTalk. Nothing in these Terms limits rights that cannot be limited under applicable law.

11. Termination.

We may suspend or terminate your access to CrossTalk if we believe you violated these Terms, created risk or possible legal exposure, or used the service in a harmful or abusive way. You may stop using CrossTalk at any time. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, payment obligations, and dispute terms.

12. Changes to These Terms.

We may update these Terms from time to time. We will post the updated Terms on this page and update the date above. If changes are material, we will provide reasonable notice. Your continued use of CrossTalk after updated Terms take effect means you accept the updated Terms.

13. Governing Law and Disputes.

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute that cannot be resolved informally will be handled in the state or federal courts located in Los Angeles County, California, unless applicable law requires another forum.
